Due diligence

What we check before you buy

Due diligence is not a formality. It is how you find out what you are really paying for.

  • ✓ Real, repeatable profit

Owner's wages, one-offs and family costs taken out, so you see what the business really earns.

  • ✓ Hidden tax debts

GST, PAYG, super, payroll tax and Division 7A loans that could follow the business.

  • ✓ Cash and working capital

How much cash the business needs to run, so the price includes it.

  • ✓ Customers and contracts

How much rides on a few customers, and whether key contracts move with the sale.

  • ✓ Staff and entitlements

Leave owed, award compliance and contractor arrangements.

  • ✓ Assets and leases

What is actually owned, what is leased, and what the lease terms mean for you.

Example, not a real client

Buying a $4M-turnover hospitality group with three sites

What we found

Profit overstated by owner family working unpaid, unpaid super on casual staff, and one lease ending in eight months.

What changed

Price renegotiated, super debt kept with the seller, lease extension made a condition, and assets bought into a new company.

What due diligence found

None of it was hidden on purpose. It just was not on the profit and loss.

Fee

A fixed fee for your deal

Questions

Common questions

Should I sell shares or assets?›

It depends on the tax for both sides, the contracts and the risks. Sellers often prefer a share sale; buyers often prefer assets. We work out what each means in dollars.

What are the small business CGT concessions?›

Concessions that can reduce or remove capital gains tax when you sell an active business, if you meet the tests: under $2M aggregated turnover or under $6M in net assets (counting connected entities and most personal assets, but not your home or super), the active asset test and, for a share sale, the significant individual tests. Planning early makes a big difference.

Is GST charged on the sale of a business?›

Not if it is sold as a going concern: both sides registered for GST, everything needed to run the business supplied, and the going concern agreed in writing before the sale. If it is not set up correctly, 10% GST can apply to the price.

How long does due diligence take?›

Usually two to four weeks, depending on the size of the business and how quickly the seller provides information.

Do you value businesses?›

We work out what the business really earns and test the price against it. Where a formal valuation is needed, we arrange one.

Is everything kept confidential?›

Yes. We sign a confidentiality agreement on request, and only the people working on your deal see the information.
